12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or your use of the Site shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
YOU WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

These Terms will be updated before full platform operations begin to govern live financial transactions, investor agreements, and escrow arrangements.
